Non-Disclosure Agreement (NDA):
This Non-Disclosure Agreement is made and entered into as of the date of submission of this form, by and between HTN Corporation (hereinafter "Disclosing Party") and the individual or entity providing the information in the form (hereinafter "Receiving Party").
Confidential Information: For the purpose of this Agreement, "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which Disclosing Party is engaged.
Obligations of Receiving Party: The Receiving Party agrees to:
Maintain the confidentiality of the Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information.
Use the Confidential Information solely for the purpose of evaluating or engaging in business discussions concerning the demonstration provided by the Disclosing Party.
Not disclose any Confidential Information to third parties without the prior written consent of the Disclosing Party.
Term: This Agreement shall remain in effect for a period of two (2) years from the date of disclosure of the Confidential Information.
Exclusions from Confidential Information: Confidential Information does not include information that:
Is or becomes publicly known through no breach of this Agreement by the Receiving Party.
Is received from a third party without breach of any obligation of confidentiality.
Is independently developed by the Receiving Party without use of or reference to the Confidential Information.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which HTN Corporation is established.
By submitting this form, the Receiving Party agrees to the terms of this NDA.
